1Acceptance of Terms

By accessing the website of PractiOne ("we," "us," or "our"), downloading our resources (including but not limited to the Practice Valuation Checklist), or engaging our consulting and advisory services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

2Scope of Advisory Services

PractiOne provides business, operational, HR, and compliance consulting tailored for the Canadian dental industry. While we strive to provide actionable, high-quality strategic blueprints and hands-on implementation, our services are advisory in nature. The successful implementation and ultimate financial or operational results rely on the execution, dedication, and management decisions of the practice owner and their team. We do not guarantee specific financial outcomes, revenue increases, or practice valuations.

3Professional Disclaimer (Not Clinical or Legal Advice)

PractiOne operates exclusively as a business and operational management consultancy. We do not provide clinical dentistry advice, legal counsel, or certified public accounting (CPA) services. Any guidance related to regulatory compliance (such as IPAC, PHIPA, or RCDSO standards), HR policies, or financial operations is intended for informational and organizational structuring purposes only. Practice owners are solely responsible for clinical outcomes and must consult with their independent legal counsel, licensed accountants, or respective provincial dental regulatory colleges for specific legal, financial, or clinical determinations.

4Intellectual Property & Use of Materials

All content provided by PractiOne, including our "8 Pillars of Growth," Elite Growth Programs, operational frameworks, checklists, website copy, design elements, training materials, and custom blueprints, is the exclusive intellectual property of PractiOne and is protected by Canadian and international copyright laws.

When you download free resources or engage us for consulting, you are granted a limited, non-exclusive, non-transferable license to use these materials strictly for the internal operations of your specific dental practice. You may not reproduce, distribute, resell, or publicly share our proprietary frameworks or materials with other clinics, DSOs, or third parties without our explicit written consent.

5Fees, Payments, and Refunds

For formal consulting engagements, the specific fees, payment schedules, and deliverables will be outlined in a separate written Statement of Work (SOW) or Consulting Agreement. All fees are stated in Canadian Dollars (CAD) unless otherwise indicated. Due to the immediate access and proprietary nature of our strategic blueprints, audits, and digital resources, all sales of downloadable materials are final and non-refundable.

6Client Responsibilities & Data Accuracy

To provide effective operational audits and strategic advice, PractiOne relies on the information provided by the client. You agree to provide accurate, complete, and current financial, operational, and team data as requested. PractiOne is not liable for strategic inaccuracies or implementation failures that result from incomplete, false, or misleading data provided by the practice.

7Independent Contractor Relationship

PractiOne provides its consulting and advisory services as an independent contractor. Nothing in these Terms or our consulting agreements shall be construed as creating a partnership, joint venture, agency, or employer-employee relationship between PractiOne and your dental practice.

8Non-Solicitation

During the term of our consulting engagement and for a period of twelve (12) months following its conclusion, you agree not to directly or indirectly solicit, recruit, or hire any employee, contractor, or consultant of PractiOne without our prior written consent.

9Limitation of Liability

To the maximum extent permitted by applicable Canadian law, PractiOne, its founders, employees, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of revenue, business interruption, or loss of data, arising out of or related to your use of our website, resources, or consulting services.

In no event shall PractiOne's total aggregate liability for any claims arising under or related to these Terms or our advisory services exceed the total amount of consulting fees actually paid by you to PractiOne in the three (3) months preceding the event giving rise to the claim.

10Confidentiality

We treat your practice's operational and financial data with the utmost discretion. Please refer to our Privacy Policy for detailed information on how we collect, handle, and safeguard your data, as well as our protocols for complying with PHIPA, PIPEDA, and CASL regarding incidental access to health information.

11Third-Party Links & Software

Our website or consulting recommendations may include links to third-party websites or software platforms (e.g., specific dental practice management software or HR tools). PractiOne does not endorse, guarantee, or assume responsibility for the accuracy, security, or functionality of any third-party sites or tools. Your use of third-party platforms is governed by their respective terms and policies.

12Governing Law & Dispute Resolution

These Terms of Service and any separate consulting agreements shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved exclusively in the courts located in Toronto, Ontario.

13Modifications to Terms

PractiOne reserves the right to modify or replace these Terms at any time. We will post the most current version on our website with an updated "Last Updated" date. Your continued use of the website or our services following any changes constitutes your acceptance of the revised Terms.
